VALUATIONS

With the enactment of Sarbanes-Oxley, independent valuations of assets such as Goodwill and other Intangibles has become mandatory for public companies and is called for by many lenders and other stakeholders of private companies.

In addition, valuations of businesses, particularly privately owned companies, often come about unexpectedly: Death or disability of a stockholder, family differences, stockholder disputes, an unsolicited offer to buy the company, etc. At times, a valuation can be anticipated such as with an existing buy/sell agreement amongst the stockholders, a well planned effort to sell the company, or passing control to the next generation. It is even becoming rather commonplace to have a valuation performed as a matter of routine even if there is no pressing reason to do so.

Valuations of businesses are not only critical when a pressing need arises, but can also offer owners and top management a picture of the company as viewed from the "outside" and clarify the company's competitive place within the industry.
